SUBMISSION OF QUARTERLY RETURNS UNDER
THE LISTING REGULATIONS OF THE STOCK EXCHANGES.
Pursuant to amendments
in the listing regulations of the stock exchanges to incorporate provisions
relating to transfer pricing, quarterly returns are required to be filed with
the Commission under clause (11) thereof, which reads as follows:
“(11) All listed companies shall file quarterly returns in the form specified
and shown as Schedule A and B hereto with the Commission. The quarterly returns
shall be signed by the Chief Executive and the CFO of every listed company.”
2. It is hereby clarified that the quarterly returns referred to above shall be
filed with the Commission not later than one month from the close of each
quarter.
3. A number of listed companies have also approached the Commission to inquire
about filing of quarterly returns for the quarter ended March 31, 2003. In view
of practical difficulties for listed companies to file the returns for the said
quarter, considering that the amendments were made in listing regulations in
March 2003, it is further clarified that listed companies may not file the
returns for the quarter ended March 31, 2003. This relaxation has been made only
for one quarter, i.e. the quarter ended March 31, 2003, and listed companies are
advised to file quarterly returns for all subsequent quarters within one month
from their close.
